01

General

Identification

"User", "you" or "your" refers to the person or company using Half5. "We", "us" or "our" refers to the provider of the software. Half5 is part of webRidge, located at Nijverheidsweg 1A, 4695 RC Sint-Maartensdijk, the Netherlands. webRidge and Half5 are registered with the Dutch Chamber of Commerce under number 56845367.

Applicability

These terms apply to using our software, website, and additional services. By creating an account, you agree to these terms. If there are separate written agreements for a business rollout, those take precedence over these general terms.

Representation

Company representatives must be authorized to act for their organization and are responsible for actions in the software.

02

Account and use

Account details

When you sign up, we ask for accurate and complete information. Please update any changes right away so your account and records stay correct.

Availability

Half5 is always being improved. We aim for a reliable service, but can't guarantee the software is always error-free or available without interruption. Maintenance may cause temporary downtime.

Terms of use

The software can't be used for illegal activities. Users must follow legal and ethical standards and keep their login details secure.

Incidents

Any suspected unusual activity must be reported right away so we can take appropriate action.

03

Costs and payment

Rates

Some features may have additional costs. Pricing is clearly shown on the website.

Payment

Payment is made by direct debit or credit card. Users must provide valid payment details.

Arrears and rate changes

Late payments may result in extra fees and temporary suspension of services. Pricing changes are announced at least six weeks in advance.

04

Additional services and partners

Partner services

Additional financial services may have extra terms. Those terms are set by the relevant partners.

Half5's role

Half5 can help connect you with partners, but isn't a party to contracts between users and those partners.

05

Liability and indemnification

Non-compliance

If a user violates these terms, that user is responsible for any resulting damages. This may result in temporary or permanent account suspension.

Force majeure

We're not required to provide services in cases of force majeure, like supplier outages or power and internet failures. If force majeure lasts, the contract can be ended without compensation.

Limitation

Where allowed by law, our liability is limited to direct damages. Total liability per event—including related events counted as one—is limited to what the user paid for Half5 in the twelve months before the event, up to €10,000.

  • Not liable for indirect damages, such as lost profits, missed savings, or business interruption.
  • Not liable for damages if data, hours, integrations, or draft invoices aren't reviewed in time by the user.
  • Not liable for damages from missing external backups, exports, or your own records outside Half5.
  • Not liable for legal actions, regulator instructions, or services performed by partners.
  • This limitation does not apply in cases of intent or deliberate recklessness by webRidge/Half5 management, or where mandatory law prohibits such a limitation.

Disclaimer

The user indemnifies us against third-party claims that directly result from unlawful use of Half5, breach of these terms, or failure to meet legal or contractual obligations by the user. This indemnity is limited to reasonable, demonstrable costs and damages, up to a maximum of €10,000, except where the claim is caused by intent or deliberate recklessness by the user.

06

Termination

By the user

Users can end the contract anytime in their account settings.

By Half5

We can end the contract with two months' notice. In some cases, we may terminate it immediately.

07

Data ownership

Data entered by users stays the property of the user.

Personal data

Personal data is processed according to applicable privacy laws and our privacy policy.

08
